Terms of Service

These Terms govern access to and use of Timenox 360, including the marketing website, the administrator web application, and the Android and iOS mobile applications (together, the “Service”). By creating an organization, starting a trial, or using the Service, you agree to these Terms.
This document is a professional draft for legal review. It is not a substitute for advice from qualified counsel.
1. Parties and acceptance
These Terms are an agreement between you (the “Customer”, “Employer”, or “User”) and VYQDA Technologies Pvt. Ltd., the operator of Timenox 360 (“we”, “us”, “our”), a company registered in India.
You confirm that you are at least 18 and, if acting for an organization, that you have authority to bind it. If you do not agree, do not use the Service.
2. Description of the Service
Timenox 360 is field workforce management software for organizations whose employees work beyond a traditional office. Depending on plan and configuration, the Service may include:
- organization and employee provisioning (no public employee self-signup);
- GPS-enabled field attendance, including check-in, check-out, working hours, and optional selfie attendance;
- customer visits, site visits, tasks, and calendar;
- orders and collections recorded as field activity where used (not an ERP);
- operational reporting and administrator visibility in the web application;
- Android and iOS applications for provisioned field employees.
Timenox 360 is not HRMS, payroll, leave management, or office geofence attendance. Those belong to Timenox, a related product. Feature availability varies by plan. We may modify features with reasonable notice.
3. Employer responsibility
The Employer is responsible for how the Service is deployed in its workforce. The Employer warrants that it will:
- inform employees that Timenox 360 is used, what operational data may be processed, and for what purposes;
- obtain any consent or other legal basis required by applicable law before processing employee personal data;
- comply with employment, labour, and workplace-monitoring laws in the jurisdictions where it operates;
- align internal policies and contracts with actual use of the Service;
- independently verify records before relying on them for payroll, discipline, or termination decisions.
We are not responsible for claims arising from the Employer’s failure to meet these obligations.
4. Data roles and processing
The Employer is the controller of employee personal data. We process that data as a processor on the Employer’s instructions, as further described in the Privacy Policy. A separate DPA may be executed on request via support@timenox.com where required.
5. User accounts and provisioning
Administrators manage the organization in the web application. Field employees use the mobile application only after the organization provisions access. You are responsible for credentials issued to your users and for activity under those accounts.
6. Location and field visibility
Where the Employer enables location-based field attendance, an attendance session begins at check-in. During that session the Service may collect location updates, including while the mobile application is backgrounded, subject to device permissions, operating-system behavior, and connectivity. The session ends at check-out. These Terms do not license 24/7 tracking or employee surveillance, and they do not assert a specific sampling frequency.
GPS and network location are imperfect, especially indoors. We do not guarantee accuracy. The Employer must not rely solely on location data for disciplinary decisions and must ensure that any location processing complies with applicable law.
The Service is field operations software. It is not licensed or marketed as employee surveillance.
7. Photo verification
Optional selfie attendance, where enabled by the Employer, stores an image with the attendance event for employer review. We do not claim automated facial recognition. The Employer is responsible for any consent required to collect employee photographs.
8. Attendance and operations accuracy
Records reflect what the Service captured, including offline entries that later sync, subject to device, network, and user behaviour. The Employer remains responsible for reviewing exceptions and for decisions made using the records.
9. Acceptable use
You must not misuse the Service, attempt unauthorized access, interfere with other customers, misrepresent Timenox 360, or use the Service to violate law. We may suspend access where reasonably necessary to protect the Service or others.
10. International data transfers
Data may be processed in India and other countries as described in the Privacy Policy. Appropriate transfer safeguards will be used where required by applicable law.
11. Technical limitations
The Service depends on device GPS, operating-system permissions, network connectivity, and correct configuration by the Employer. Offline capabilities, where available, sync when connectivity returns and are not a guarantee of completeness.
12. Intellectual property
The Service, including software, branding, and documentation, is owned by us or our licensors. These Terms do not transfer ownership. You receive a limited, non-exclusive licence to use the Service during a valid subscription or trial.
13. Payment terms
Published plan prices on the marketing website are informational. Fees, taxes, billing cadence, trials, and refunds are those presented in the application, an order form, or a written agreement. We do not invent an SLA or refund window on this page.
14. Service availability
We aim to keep the Service available but do not warrant uninterrupted operation. Scheduled maintenance and events beyond reasonable control may cause downtime. No 99.9% uptime figure is incorporated into these Terms unless a separate written agreement says so.
15. Limitation of liability
To the extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption. Our aggregate liability arising out of the Service is limited to the fees paid by the Customer for the Service in the twelve months before the claim, or a smaller amount required as a minimum by law that cannot be excluded.
Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud or for death or personal injury caused by negligence where such exclusion is prohibited.
16. Disclaimers
The Service is provided “as is” except where a non-excludable warranty applies. We do not warrant that the Service is error-free, that GPS will be precise, or that the Service is appropriate for every regulated industry without the Employer’s own compliance review.
17. Indemnification
The Customer will indemnify us against claims arising from the Customer’s misuse of the Service, failure to obtain required employee notices or consents, or violation of law, except to the extent caused by our wilful misconduct.
18. Termination
Either party may terminate according to the subscription terms presented at signup or in an order form. We may suspend or terminate for material breach, non-payment, or legal risk. Upon termination, access ends and data is handled as described in the Privacy Policy.
19. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law rules, except where mandatory local consumer or employment law applies and cannot be waived.
20. Dispute resolution
The parties will first attempt to resolve disputes informally via support@timenox.com. Subject to mandatory law, courts in India have exclusive jurisdiction. This does not prevent either party from seeking interim injunctive relief where available.
21. General
These Terms, the Privacy Policy, the Cookie Policy, and any order form are the entire agreement for the Service. If a provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign the agreement without our consent; we may assign it in a corporate transaction. Notices to us must be sent to support@timenox.com.
